Shareholder’s Administrative Rights
The administrative rights of the shareholder are usually connected to the decision making at the general meeting. The administrative rights that may be considered major in the Limited Liability Companies Act are:
the right to participate in the general meeting;
the right to vote and to speak at the general meeting;
the right to demand a given matter to be dealt with at the general meeting and make proposals regarding matters dealt with at the general meeting;
the right to receive information about the matters to be dealt with at the general meeting and the right to demand the minutes of a general meeting to be available for inspection;
the right to demand a resolution of the general meeting to be declared invalid;
the right to demand a share certificate; and
the right to bring an action on the behalf of the company if the board of directors will not make a claim for damages.
