Change to a Limited Partnership or to a General Partnership

A general partnership shall become a limited partnership if a silent partner is admitted into the partnership or if an agreement is concluded to limit the liability of a partner to his/her contribution to the partnership.

A limited partnership shall become a general partnership is the partnership agreement is changed so that the partnership has no silent partners.

When a general partner becomes a silent partner or vice versa, the changes in his/her liability shall enter into force immediately by an amendment of association, if a person referring to the liability was aware of the change. Otherwise the change will enter into force when the change is entered in the Trade Register.
