Venue for the General Meeting
The general meeting shall be held at the place where the registered office of the company is located unless otherwise provided in the articles of association. The articles of association may even provide a meeting location that is situated abroad. The place shall in this case be stated in the articles of association with the same accuracy as the registered office of the company.
If the transfer of the venue of the general meeting abroad makes it excessively difficult for shareholders to participate, an amendment of the articles of association concerning the matter may be against the principle of equality of shareholders [1.8.12.7 Invalid or Void Decision of the General Meeting]. An acceptable reason to transfer the location for the meeting to another country is for instance that the shareholders live there.
