Presenting the Matters Requiring a Resolution
The chairperson of the meeting or a person appointed by him/her will present the matters to be decided upon by the general meeting. Such a person may be, e.g., a member of the board of directors. The presenter commonly makes a proposal for the resolution of the general meeting. In case there are several proposals, a voting is arranged. The voting is usually open unless otherwise provided in the articles of association. If there are more than two proposals, the proposals are usually put against each other two-by-two. The winning proposal is put against the third proposal and so on. It is a duty of the chairman to present to the general meeting the voting order, i.e. in what manner the different alternatives are put against each other.
