Requirements for Decision-Making
The requirements for the decision-making of the general meeting vary depending on the matter and provisions of the articles of association. One of the general principles of the Limited Liability Companies Act is a majority principle, i.e. the decisions of the general meeting require only a majority of the given votes unless otherwise provided in law or in the articles of association. The provisions protecting the minority in the Limited Liability Companies Act may require that first of all, a decision is made only if a certain qualified majority [1.8.12.5 Qualified Majority] of the votes given in the meeting that supports the decision or secondly, the decision binding the general meeting is made already with the support of a sufficient minority [1.8.12.3 Protection of Minority Shareholders]
