Content and Amendment of the IT2010 Terms
The IT2010 terms have been drafted for general use within the IT sector. Due to their characteristics, it has not been possible to take into account all aspects relevant for individual deliveries. If necessary, the parties should agree upon special terms applicable in the relevant situation in the main agreement.
It is important to familiarize oneself with the terms, in order to ensure their suitability to the present agreement. The supplier should note, for example, that a delivery of a standard software package will not be deemed to be completed before the supplier has provided the customer with an instruction manual regarding use of the software in Finnish or English
Other situations may also emerge, where the IT2010 terms are not be applicable to the delivery as such, and will require amendments. A customer may, for example, require delivery of the source code of the software. The terms may also lack provisions regarding matters which the parties deem necessary to agree upon.
The main agreement itself can be drafted to deviate from the IT2010 terms, and also to include amendments regarding additional terms applicable to the relevant delivery. If the parties wish to exclude a provision of the IT2010 terms, it can, for instance, be clearly crossed out in the annexed document. If the parties wish to amend a term, the amendment must be clearly visible. If amendments are made, which are not clearly visible, the title IT2010 cannot be used. One workable method is to include a separate attachment, specifying any deviations and amendments to the IT2010 terms, in the agreement.
